Upgrading to newest Prestashop version 1.2.1

I am currently using Prestashop version 1.2.0.6 - 0.293s
And I want to upgrade to the newest version 1.2.1 to keep my cart current.

Do I upload the new version OVERWRITING the old version?
Or do I need to perform a FRESH INSTALL of the new version?
If someone would explain the proper directions I would greatly appreciate it!

Don't upgrade, 1.2.1 Final has some nasty bugs.

With the newest version 1.2.2 available as of August 27th, what is your current consensus on upgrading now?
